1. Acceptance of Terms & Scope

These Terms govern all usage of website, applications, and consulting, design, and software engineering services provided by AIPRO:

Applies to all individual clients, corporate entities, and partners engaging with AIPRO.

When parties execute a specific Commercial Contract or Service Level Agreement, contract terms take precedence alongside these General Terms.

AIPRO reserves the right to update or modify these Terms periodically to maintain full legal compliance, with updates posted on our website.

2. Intellectual Property Rights & Ownership

All intellectual property including AIPRO trademarks, proprietary source code, UI/UX designs, images, and technical documentation are sole property of AIPRO or its licensors:

Source Code Copyright

Source Code Ownership: Clients acquire full intellectual property rights to custom project source code as specified in the executed service agreement upon full payment.

Brand Protection

Brand Protection: Unauthorized copying, redistribution, or commercial reuse of AIPRO assets, designs, or trademarks without prior written consent is strictly prohibited.

3. Service Usage Rules & User Obligations

Users and clients commit to maintaining civil, legal, and secure service standards when interacting with AIPRO platforms:

Provide accurate and complete contact information and assume legal responsibility for submitted data.

DO NOT attempt unauthorized access, cyberattacks (DDoS, Malware), or automated data scraping on AIPRO infrastructure.

DO NOT transmit unlawful content, infringe upon privacy rights, or harm the reputation of AIPRO and its ecosystem partners.

4. Non-Disclosure Agreement (NDA) & SLA

AIPRO rigorously abides by strict Non-Disclosure Agreements (NDA) and Service Level Agreements (SLA) across all client engagements:

SLA 99.9% Availability & Technical Warranty Standard

Execute bilateral Non-Disclosure Agreements (NDA) prior to reviewing proprietary business ideas, data, or source files.

Maintain a 99.9% Uptime availability commitment for enterprise Cloud & AI SaaS infrastructure.

Provide warranty bug fixes and technical support during the agreed post-delivery warranty period.

5. Limitation of Liability

AIPRO's legal liability is defined strictly in accordance with applicable laws and commercial contract terms:

AIPRO shall not be held liable for indirect, consequential, or business interruption damages beyond our direct operational control.

In all events, AIPRO's total cumulative liability shall not exceed the actual contract value paid by the Client for the specific project engagement.

Force Majeure: Neither party shall be liable for delays caused by national infrastructure outages, natural disasters, or government mandates.

6. Applicable Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam:

Any dispute arising out of or in connection with service agreements shall first be resolved through good-faith negotiation and mediation.

If unresolved through negotiation within 30 days, disputes shall be submitted to the competent People's Court in Hanoi, Vietnam.
